Pfizer Board Approves Scheme Of Amalgamation

MUMBAI, India -- The Stock Exchange, Mumbai (BSE) made the following corporate announcement:

Pfizer Ltd., has informed BSE that the Board of Directors of the Company at their meeting held on July 13, 2004 have unanimously approved the Scheme of Amalgamation of Pharmacia Healthcare Ltd with Pfizer Ltd and the exchange ratio of 5 Equity Shares of Rs. 5 each fully paid up of Pharmacia Healthcare Ltd with 1 Equity share of Rs. 10 each fully paid up of Pfizer Ltd., subject to the approval of the shareholders and High court of Judicature, Bombay.
